Ghana Independent Contractor Agreement

INDEPENDENT CONTRACTOR AGREEMENT (Under Ghana Labour Act, 2003 [Act 651] and Contracts Act, 1960 [Act 25]) This Independent Contractor Agreement ("Agreement") is entered into on 2026-10-01, by and between: CLIENT: Apex Innovations Ltd, with principal place of business at Airport Residential Area, Accra, Ghana ("Client"), and CONTRACTOR: Kofi Mensah, residing/operating at East Legon, Accra, Ghana ("Contractor"). 1. ENGAGEMENT AND SERVICES Client hereby engages Contractor, and Contractor agrees, to perform the following services and deliverables: Project: Brand Identity & Web Application Development Deliverables: 1. Complete UI/UX design in Figma 2. Next.js responsive frontend application 3. REST API integration and deployment 4. Two weeks post-launch warranty support 2. TERM AND SCHEDULE Contractor shall commence work on 2026-10-01 and shall complete all deliverables no later than 2026-12-31, unless extended by mutual written agreement. 3. INDEPENDENT CONTRACTOR STATUS Contractor is an independent contractor and not an employee, agent, partner, or joint venturer of Client. Contractor retains full discretion over the manner and means of performing the Services, uses their own equipment, and is not entitled to paid leave, pensions, or benefits under Act 651. 4. COMPENSATION AND PAYMENT TERMS Client shall pay Contractor a total fixed fee of GH₵ 35,000.00, payable in the following installments: - Upfront Deposit: 40% upon signing of this Agreement. - Milestone Payment: 40% upon submission of alpha deliverables. - Final Payment: 20% upon final client sign-off. Invoices shall be payable within fourteen (14) calendar days of receipt. Late payments shall incur a finance charge of 5% per month on the outstanding balance, capped at 50% of the total contract value.
